The Paralegal II works with Legal Department, Associate General Counsel(s) and litigation attorney concerning corporate /healthcare legal matters, litigation, researching law, investigating facts and preparing documents. Conducts legal research to support HMH legal position on specific cases.

 

This position offers an opportunity to handle visible purchasing projects and interact with purchasing leadership.  Reporting into legal with a dotted line to purchasing, the ideal candidate will review, redline and negotiate agreements and assist in ensuring prompt completion of key purchasing projects.
 
This position will offer a hybrid schedule.

Responsibilities

A day in the life of a Paralegal II at Hackensack Meridian Health includes:

  • Contract Maintenance Support: Assists in the administration of Tract Manager. Assists in the administration of Tract Manager under the management and corroboration of Senior Counsel. Fields questions, generates reports, quality checks the input of all documents, culls expired documents, assists in education of team members.
  • Physicians' Contracts Support: Assists with the review, construction, revision and negotiation of physician agreements. Reviews, revises, and/or drafts and negotiates physician professional services agreements and physician employment agreements under guidance of attorneys, on a timely basis so that physicians are able to begin providing services when scheduled. Responsible for the collection and organization of due diligence for Closings, Litigation and Financings.
  • Clinical Trial Support: Assists with the review, revision and negotiation of Clinical Trial Agreements. Reviews, revises and negotiates all Clinical Trial Agreements, under the management and corroboration of Senior Counsel and Meridian's Corporate Director of Clinical Research.
  • Legal Document Support: Drafts and files corporate legal documents as required. Drafts corporate resolutions, agreement amendments and addendums, and correspondence, with little or no supervision. Assists with the construction and filing of documentation for new physician practices.
  • Document Filing: Files corporate documents with the State, County and Federal Governments. Secures timely filings of corporate documents with the State, including, but not limited to, applications for reservation of names, alternate name registration, restated certificates of incorporation, certificates of merger, etc.
  • Monitors and compiles OIG Advisory Opinions and news releases, and BME Proposals and Rulings: Monitors on a daily basis and provides attorneys with OIG Advisory Opinions or other OIG material deemed pertinent as well as BME Proposals and Rulings.
  • Vendor Contract Support: Reviews, revises and negotiates contracts with outside vendors to ensure vendor's compliance with Meridian's stringent requirements and needs. Agreements are completed within the requested time frame. Responsible for review and revision of transfer agreements between our hospitals and various nursing homes, other hospitals, ambulatory care centers, surgical centers, and assisted living facilities. Responsible for review, construction, and revision of school affiliation agreements.
  • UCC Debtor Searches: Responsible for all UCC debtor searches, local judgment searches, State tax lien searches, Federal judgment searches, bankruptcy searches, etc.

Qualifications

Education, Knowledge, Skills and Abilities Required:

  • Associates degree (or equivalent college credits completed) or Bachelor's degree.
  • Minimum of 5 years legal/paralegal experience OR J.D. Degree
  • Strong knowledge of legal principles and practices, legal research techniques, legal terminology, and legal communication principles and practices

Education, Knowledge, Skills and Abilities Preferred:

  • Prior experience with a hospital or health system

Licenses and Certifications Preferred:

  • Current and valid Paralegal Certificate.
